Terms and Conditions of Sale & Supply
MARLOTA LIMITED
1. Definitions and Interpretation
1.1. "Company" means Marlota Limited, registered in England and Wales (Company No. 16341157).
1.2. "Customer" means the person, firm, or company purchasing goods or services from the Company.
1.3. "Goods" means the stationery, packaging, or other products ordered.
1.4. "Contract" means the agreement between the Company and the Customer for the sale and purchase of Goods.
2. Basis of Contract
2.1. These Terms apply to all orders and exclude any other terms the Customer seeks to impose or incorporate.
2.2. An order constitutes an offer by the Customer to purchase Goods in accordance with these Conditions. The order is accepted only when the Company issues written acceptance or delivers the Goods.
3. Goods and Specifications
3.1. The Goods are as described on the Company’s website, marlota.co.uk, or in its catalogue.
3.2. The Company reserves the right to amend the specification of the Goods if required by any applicable statutory or regulatory requirements.
4. Price and Payment
4.1. The price of the Goods shall be the price set out in the Company’s price list at the date of the order.
4.2. Prices are exclusive of VAT, which the Customer shall pay in addition where applicable.
4.3. Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
4.4. If the Customer fails to make payment on time, the Company may charge interest at 8% above the Bank of England’s base rate.
5. Delivery
5.1. Delivery dates are approximate only, and time shall not be of the essence. The Company shall not be liable for any delay in delivery.
5.2. If the Customer fails to accept delivery, the Company may store the Goods until delivery takes place and charge the Customer for all reasonable storage costs.
6. Risk and Title
6.1. Risk in the Goods passes to the Customer upon delivery.
6.2. Title to the Goods shall not pass to the Customer until the Company has received payment in full.
7. Returns and Refunds
7.1. Goods must be inspected within 3 days of delivery, and the Company must be notified of any defects within that period.
7.2. Returns are accepted within 30 days of purchase for Goods that are unused and in their original condition. A restocking fee may apply.
8. Limitation of Liability (Customer’s Attention Drawn)
8.1. Nothing in these Conditions limits or excludes liability for death, personal injury, or fraud.
8.2. The Company shall not be liable for any loss of profit, loss of business, or any indirect or consequential loss.
8.3. The Company’s total liability for any claim arising under the Contract shall not exceed the price paid for the Goods.
9. Termination
9.1. Either party may terminate the Contract with immediate effect if the other party commits a material breach or becomes insolvent.
10. Governing Law and Jurisdiction
10.1. This Contract and any dispute arising from it shall be governed by the laws of England and Wales, and the courts of England shall have exclusive jurisdiction.
